These Terms & Conditions (“Terms”) govern purchases from and use of PassSigns.com and products supplied by Parking Alert Signs (“PassSigns,” “we,” “us,” or “our”). By placing an order, accepting a quote, or using our products, the customer (“Customer,” “you,” or “your”) agrees to these Terms.
1. Product purpose and scope
PassSigns designs and supplies visual and audible warning products, traffic-control components, sensors, controllers, signs, and engineered kits intended to support safer vehicle and pedestrian movement. Our products are safety aids. They do not eliminate hazards, guarantee that a collision or injury will not occur, replace attentive driving or pedestrian awareness, or substitute for barriers, flaggers, supervision, procedures, training, or other controls required for a particular site.
2. Customer responsibility for system selection and site suitability
The Customer is responsible for determining whether a product or system is suitable for the intended location and application. This includes evaluating traffic patterns, sight lines, approach speeds, stopping distances, pedestrian routes, ambient light and noise, weather exposure, power availability, wireless conditions, mounting surfaces, environmental conditions, and foreseeable misuse. Any design assistance or product recommendation from PassSigns is based on information supplied by the Customer and does not replace an on-site assessment by a qualified professional.
3. Codes, permits, and legal compliance
The Customer and its installer are solely responsible for identifying and complying with all applicable federal, state, provincial, territorial, and local laws, codes, regulations, permits, accessibility requirements, electrical requirements, traffic-control standards, fire and life-safety requirements, property rules, and requirements of authorities having jurisdiction. PassSigns does not represent that a product or suggested layout is approved for every location or use.
4. Installation by qualified personnel
Unless expressly agreed in a separate written contract, PassSigns does not install the products. Installation, wiring, programming, mounting, placement, integration, and commissioning must be performed by persons qualified for the work and in accordance with product documentation, accepted safety practices, and applicable law. The Customer and installer are responsible for verifying correct voltage, polarity, grounding, circuit protection, load ratings, clearances, mounting security, weather sealing, sensor coverage, sign visibility, audible-device suitability, and compatibility with connected equipment.
Product documents are general guidance and may not address every site condition. If instructions conflict with applicable law or an authority’s requirement, the applicable law or authority’s requirement controls.
5. Commissioning and acceptance testing
Before a system is placed into service, the Customer and installer must conduct and document a complete functional test under representative conditions. Testing must confirm, as applicable, correct detection zones, timing, directional logic, fail-safe behavior, lamp or sign visibility, audible output, wireless operation, manual override functions, connected equipment, and safe operation during power loss or component failure. The system must not be placed into service if any function is uncertain, intermittent, obstructed, damaged, or inconsistent with the intended sequence.
6. Ongoing inspection, testing, and maintenance
The Customer and site owner/operator are responsible for keeping every product and system properly powered, visible, audible where applicable, clean, aligned, unobstructed, protected, and in good working condition. They must establish a documented inspection and preventive-maintenance program appropriate for the site and any manufacturer or legal requirements.
At a minimum, routine checks should verify that signs and lights illuminate correctly, audible devices can be heard where intended, sensors detect intended targets without unsafe false or missed activations, controllers follow the correct sequence, wireless and manual-control functions operate reliably, enclosures and mounts are secure, and wiring and power supplies show no damage. A simple visual or audible check does not replace complete functional testing. Testing must also be performed after installation, adjustment, impact, electrical work, construction, environmental change, loss of power, repair, or any event that could affect operation.
A product or system that is damaged, obstructed, malfunctioning, unreliable, or overdue for required inspection must be removed from safety service, clearly identified, and repaired or replaced before reliance resumes. The Customer must maintain alternative safety controls while a system is unavailable.
7. Modifications and third-party equipment
Unauthorized modification, improper programming, operation outside published ratings, substitution of incompatible components, bypassing safety functions, or integration with third-party equipment may create unsafe conditions and may void warranty coverage. The party designing or performing an integration is responsible for validating the complete system.
8. Orders, quotations, and product information
Orders are subject to acceptance and product availability. Quotations expire on the date stated in the quote. Product descriptions, photographs, drawings, dimensions, specifications, availability, and pricing may be corrected or changed before order acceptance. Custom or configured products may vary in non-material appearance while meeting the agreed specifications.
9. Payment, taxes, and discounts
Payment is due as stated at checkout, on the invoice, or in an accepted written quote. The Customer is responsible for applicable taxes, duties, customs charges, brokerage, and governmental fees unless expressly stated otherwise. Discount codes, account pricing, and promotional offers may be restricted, changed, or withdrawn and may not be combined unless expressly allowed.
10. Shipping, delivery, and inspection
Shipping and delivery dates are estimates unless expressly guaranteed in writing. Delays caused by carriers, suppliers, weather, emergencies, or events beyond our reasonable control do not constitute breach. The Customer must inspect shipments promptly and notify PassSigns of visible shipping damage, shortages, or incorrect items as soon as reasonably possible. Preserve packaging and documentation needed for a carrier claim.
11. Cancellations, returns, and warranty
Cancellations, returns, exchanges, and warranty claims are governed by our Warranty & Returns Policy, which is incorporated into these Terms. Custom, modified, programmed, special-order, or made-to-order products may be non-cancellable and non-returnable except as required by law or expressly agreed in writing.
12. Disclaimer of warranties
Except for any express written warranty provided by PassSigns, and to the fullest extent permitted by law, products and services are provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, to the extent those warranties may lawfully be disclaimed. We do not warrant uninterrupted or error-free operation, a particular safety outcome, regulatory approval, or prevention of property damage, collision, injury, or death. Some jurisdictions do not permit certain exclusions, so these exclusions apply only to the extent permitted.
13. Limitation of liability
To the fullest extent permitted by law, PassSigns will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of use, revenue, profit, business, data, or goodwill; project delay; substitute equipment; or claims arising from site conditions, improper selection, installation, wiring, programming, integration, testing, maintenance, alteration, misuse, failure to follow documentation, or violation of law. To the fullest extent permitted by law, PassSigns’ aggregate liability arising from a product or order will not exceed the amount paid to PassSigns for the specific product giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
14. Indemnification for installation and use
To the extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless PassSigns and its owners, employees, and suppliers from third-party claims, losses, liabilities, damages, and reasonable costs arising from the Customer’s or installer’s site design, installation, wiring, programming, integration, placement, modification, misuse, failure to inspect or maintain, failure to provide alternative safety controls, or violation of applicable law, except to the extent caused by PassSigns’ gross negligence or willful misconduct.
15. Intellectual property and website use
Product documentation, photographs, graphics, designs, website content, trademarks, and other materials are owned by or licensed to PassSigns. They may be used for evaluating, purchasing, installing, operating, or maintaining PassSigns products but may not be republished, sold, misrepresented, or used to create competing materials without written permission.
16. Force majeure
PassSigns is not responsible for delay or failure caused by circumstances beyond our reasonable control, including carrier disruptions, supply shortages, labor disputes, natural events, utility or communications failures, governmental actions, civil emergencies, or acts of war or terrorism.
17. Governing law and disputes
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. To the extent permitted by law, disputes will be brought in the state or federal courts located in Maricopa County, Arizona. Mandatory rights or venue protections that apply to a consumer are not waived.
18. Severability; entire agreement; changes
If a provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain in effect. These Terms, the applicable order or accepted quote, product documentation, and incorporated policies form the agreement concerning the purchase. A conflicting term in a Customer purchase order does not apply unless expressly accepted by PassSigns in writing. We may update these Terms prospectively by posting a revised version and effective date.
